Per-File Permissions

Download, print, copy, watermark, and expiry rules on individual room items. Overriding the room defaults.

Room links set the default rules. But the discipline of a data room is that not every file deserves the same ones. Every file and folder in the room carries its own permission set, opened from its menu under Permissions.

The controls per item

SettingOptions
DownloadAllow, or block. The file becomes view-only in the room.
PrintAllow, or block.
Copy / text selectionAllow, or block.
WatermarkFollow the room default, force on, or force off for this item.
ExpiryMake this item unreachable after a date. While the rest of the room stays open.

Folder-level defaults

Set permissions on a folder and everything inside follows them. Then override individual files where needed. The practical pattern: the "Financials" folder is view-only with a strong watermark; the "Templates" folder allows download; one sensitive board deck inside Financials gets its own earlier expiry.

What visitors experience

  • A view-only file opens in the reader with no download or print control. The buttons simply are not there.
  • A watermarked file shows the visitor's own identity stamped across every page.
  • An expired item shows as unavailable. The room itself keeps working.
  • Blocked copy means text selection is disabled in that file's reader.

Stacking rules

Per-item rules stack on top of link rules. The strictest wins:

  • Link says no download + file says download allowed → no download (the link is the outer gate).
  • Link allows download + file says no → no download (the file is stricter).
  • Either side can only tighten, never loosen, the other.

Why it matters

The classic diligence posture, "everything view-only except the NDA template and the model", is a ten-second configuration here: room default blocks download, then flip download on for exactly those two files. The audit trail records which files each visitor could and could not take away.
