Before a contract leaves, or before you sign one someone sent, Mako can read it clause by clause and flag what deserves a second look.
What a review produces
Running a review on a document produces a clause-by-clause list:
- Flagged clauses, provisions Mako identifies as risky, unusual, or one-sided, each with the clause text and the reason it was flagged.
- Missing clauses. Standard protections absent from the document (termination rights, liability caps, dispute terms) that a contract of its kind would usually carry.
- Severity. Flags carry levels so the "worth a lawyer's hour" items separate from the "worth a second read" ones.
What it catches
The patterns that bite people:
- Auto-renewals buried in term language.
- Uncapped liability or one-sided indemnification.
- Unusual termination and notice asymmetries.
- Vague payment, IP, or confidentiality language.
- Missing dispute-resolution and governing-law provisions.
Where to run it
- On an envelope before sending. Catch your own drafting gaps before the counterparty does.
- On a document you were asked to sign. Know what you are agreeing to.
- On library documents. Review before something becomes a template the whole team reuses.
How to use the flags
Treat flags as a reading list, not a ruling:
- A flag means "this clause is unusual enough to check". Not "this clause is wrong."
- Missing-clause flags mean "contracts like this usually carry X". Sometimes intentionally absent, sometimes an oversight.
- The output pairs well with the negotiation flow: a signer's change request often lands on the same clauses Mako flagged.
